we are upon ge, stepped in, looking for ideas. i think a former partnership, i think with time warner and at&t. that's a factor of the media consolidation and desire for at&t to own the content, rather than be just a distributor of the product. i think if you look at these deals, just the two top deals this month, in the at&t time warner deal and american tobacco's $58 billion purchase, just announced, those two deals count for half the deal value this month. >> absolutely. does it have anything to do with the fact that interest rates are low, even though the fed is expected to raise interest rates once this year, you know, the time before the end of the year is getting pretty short. so does that kind of incremental move in interest rates influence these deals? >> i think it's very marginal, the fact you have companies that are awash in cash, that even though corporate profits may be flat for this year, corporate profits still at elevated levels. i think the companies see their peers make acquisitions, whereupon they're forced to

get with ge. ge can make argument it has synergy issues, tax incentives they can do. they can't get the operational synergies that baker-hughes can do. >> another interesting point, you said viewers didn't know and i didn't know. senior management hired performance stock incentives these kind of deals can work better? >> i don't want to always bore you here on the show with academic studies. >> that's what i'm here for. >> but there is some very compelling academic research that shows this is an example of governance work. that when senior executives and by that of course i mean those in the suite, have their incentives higher aligned with performance they are more likely to do spinoffs like this that will, in fact, add value to the shareholders of the company that they are working in. interesting, more so than if they sell off the company. so doing a spinoff like this is, in fact, more aligned with shareholders. >> ge has 67% of the combined company. >> exactly. >> so it's still very much investe

hughes, ge isr going to own 62% or so of baker hughes. oil and gas and energy is not a space that has been slow. how it's aking about prize do we hadn't seen more big deals in the oil and gas space. >> there's so much capital is needed in the startups and fractures and all the rest of it. will field services, which is most of what baker hughes amount -- is about, that's not challenged from a balance sheet. but there are a lot of companies with good assets that have very difficult balance sheet situations after the price of oil collapsed. we haven't seen any deals in that space. even though we've seen 100 bankruptcies. stabilized, prices would you anticipate more deals coming off of that? >> i think so. in the first quarter of this year, there were a lot of fractures that went into bankruptcy. wouldght the big guys swoop in and step those assets up. they didn't do it. there's a lot of theories for that, one of them being even the bigger companies were cutting their budgets. some of them even cut the dividends. i'm not going to my board roo
