i would like to highlight two proposals that are paramount to the ftc. first come it is imperative that congress enact hr 447 the t century act and then the standard rulemaking authority. this should not be a heavy left virtually every other agency has this power now that rulemaking would authorize to have clear and specific rules of what acts and practices are deceptive and unfair. doing so would provide the certainty that business many claims that once to enable to have binding enforceable norms that will deter violations and effective enforcements. and the ftc no longer has to rely on the archaic resources enforcement that it is today we bring the cases one by one and essentially with the ftc has to do with the scams from the beginning of 2019 we brought a lot of cases but didn't make much headway once the ftc promulgated a regulation using its authority under the telemarketing consumer fraud and abuse act we could chase out all of the bad actors. why? because they are always in violation of the new rule they were worried about redress and civil penal

the 21st century ftc, 21st century ftc act sponsored by representative castor and my own ftc autonomy act will provide the commission with additional enforcement tools, including warmaking, civil penalties and independent litigation authority. legislation from our colleagues, representative rush and mcnerney will give the commission authority over consumer protection violations by nonprofit organizations and telecommunications carriers. a few of the bills considered today will allow the ftc to more efficiently lease scans that target vulnerable groups. this includes bipartisan legislation from representatives rice and upton focusing on military veterans and service members and legislation from representative kelly with the task force to bolster communications from equity issues inform the public about scams targeted to other groups. representative mcnerney has legislation that will create the office of technology to provide technical assistance to the commission and every technology consideration. today these bills will forge a new path forward for the federal trade commission. i'm go

as we think through the ftc and the many issues before the ftc. last month, we saw that the ftc went through some changes including when it recently voted on a partyline vote for structural change in its compulsory process these changes seem to be a clear attempt by the chair man by the biden harris administration to consolidate power in order to pursue the agenda. they need additional funding, staff and authority. some of the bills have been proposed today by the majority but if decisions are being made behind the scenes, unilaterally it makes it hard to justify such requests. i want to start with commissioner phillips. this process be at the discretion of one person and can you explain why it's important to have collaboration with experts and commissioners. >> use single processes all commissioners have until just weeks ago had the opportunity to look at what was going on and ask staff questions to try to make sure the resources we ask for are being used in it in a sound way. these are very costly would you briefly elaborate on it? >> i complete

can the ftc or should the ftc do more to evaluate the anticompetitive behavior of the pbm's, or should this be given to someone else? mr. kades: thank you, senator. the ftc absolutely should look at pbm's. considering whether there is anticompetitive conduct in bringing cases where they can, i think it is important to remember that at the time, those who select consolidation occurred, when we look at where merger raw is, where the case that senator klobuchar talked about, the merger monopoly, and the court said not a problem, we look at other mergers the government is losing. it is not all clear the ftc is trying to stop those consolidations fate on what was before them would have been successful given how lenient the merger laws have become. that is not an excuse to not to try or look at them now but it is important to understand that part of the problems we are seeing, whether people -- pbm's or branded companies gaming the system, it is related to how we abandoned antitrust law. sen. blackburn: hindsight is always 20/20. let me ask each of you this. just a show of hands. how many of

we reached out to the ftc. they have no comment on facebook's filing and this filing, of course, comes just two weeks after amazon filed a similar recusal petition it does also face multiple ftc investigations we also reached out to google. it faces similar anti-trust scrutiny asking whether they plan to file something similar now because this deadline for the ftc to file a new case is coming up, facebook's filing this morning could force khan to address the broader question of whether she plans to recuse herself and the stakes are high in this case because the commission, with her is three democrats and two republicans. and those two republicans voted against the lawsuit filed against facebook back in december so if khan sits out this case, there likely would not be majority vote to sue facebook. we spoke to a professor of anti-trust law eleanor fox she tells us that policy bias t policy bias is not a basis for recusal or virtually all commissioners would be recused from everything. we'll see how it shakes out

what's happening with the ftc and more activist bent than the biden administration and the ftc already has made a big move on july 1st, one of the first changes under the new chairwoman was to rescind a 2015 policy which now the ftc is baseball able to scrutinize behaviors of companies even before they potentially violate antitrust and so there's a new, a new rubric on which the ftc can look at behavior. predatory pricing. can amazon slash prices on amazon basics. under the old ftc regime, that's great, that's fine for consumers. consumers benefit. consumer welfare test. that was fine. under a new ftc philosophy that's not so great because it actually is unfair to competitors. the other vector that we're experiencing regulatory risk is inflation. there are a couple of bills making their way through the house right now some of which are misguided, in my view. and very problematic one of them, for example the ending platform monopolies act which sounds good. what it does it prohibits platform operator from having horizontal business. so apple, no apple watch, music because they operate v

even the ftc is talking about that. that is extremely dangerous. i started out as an antitrust lawyer. you do not protect legacy competitors to keep them bolstered. that is why broadcasters and content companies -- we are also antitechnology for so long because they wanted their business models protected. we see the same ministries going after tech companies because they have lost advertising and control. others created content. that is not the american way. the american way is creative destruction. through our history, companies being accused of being monopolists are bad, or whether it is ibm with a personal computer or qualcomm, the best companies we went after, none of those lawsuits succeeded in doing anything other than hurting great american companies. they did not help consumers. antitrust will protect consumers and not competitors. all of a sudden somehow being big is bad. being successful is bad. doing a great american company is bad. we are going after amazing companies that are doing great things. they are making mistakes because it is a

and clearly in the united states whether it's ftc or doj. do you think whether or not they are going the same speed, directionally governments are waking up to the threat that you have written about for years now? >> well, carl, we are going to have to see. what's clear in the united states is that there is no muscle tone in our antitrust infrastructure the judge who threw out the ftc and state cases against facebook, the reason underlying that was, at best, i pinmean, it was not a serious analysis and yet it's that easy to stop it when the house judiciary committee reported out six antitrust bills it only took a handful of california representatives to prevent that coming to the floor of the house of representatives so i look at this as the industry, i don't think it has an immediate threat from antitrust, but it is, in my opinion, inevitable that governments are going to want to reassert control of their environments and take some of that power back from internet platforms. how long that's going to take, i don't know if i were an investor

what the white house is saying is that it is encouraging strongly the ftc to write these new rules and that's important because the ftc is an independent agency it can decide which ienforcemen cases to bring up. however, the white house installed lina khan as the critic of big tech she is looking for a broader way to move beyond price and consumerwelfare and think abou wages and other things and other ways that these tech companies might be bringing power to the marketplace. >> well, we know that amazon has asked that ms. khan be removed from negotiations. they think she made her position on their company known that she may be, for lack of a better term, bias coming in. do we know how other technology firms feel or the ftc itself may feel about this really, really literally multitrillion dollar topic, ylan? >> reporter: you know, lina khan's namesake was called in the anti-trust paradox her views have been out there for a while. for her to recuse herself, one of the commissioners has to ask her to do that that hasn't happened yet clearly, tech companies are watching this because it doe

what we've heard this week since a judge dismissed the ftc's lawsuits against facebook is that we've heard this from proponents of the package that this underscores the need to modernize competition policy. what's your response to that argument? >> guest: that's taking a bad situation and trying to making something good out of it. look, the reality is they just threw that out because there were no facts that were relevant. you have to have a factual case to plead the case. they can try to change lost two impacts. that would be pretty bad. they are singling out america's best companies that export around the world that are world dominant that basically animals every americans irate or 401(k) or pension plan and the generally well and employing some 14 million americans and by the way, getting products and they're going after our best companies. it is baffling to me. i understand the frustration. both sides think some of the companies either say too much mercy to little but it hurts them. both companies, sides are complaining about what you're saying. what do i think? i think the way t

this is an area where i think we can see the ftc, the doj, and others become far more active because there's an easier story to tell their regarding how consolidation is inherently anticompetitive and anti-consumer. that is an easier story to tell. with that being said, i think we have to look at this through the recent actions and say that it is going to be difficult, as evidenced by the facebook lawsuit getting thrown out, and the consumer welfare standard has been the coveting dynamic since the 1970's. it takes a long time to go from theory to practice. guy: the focus is going to be on tech, and i am sure that's where you're getting most of the questions, but this push back concentration within the was economy is fairly broad. it is interesting that looking at the railroads as well, an area which has been concentrating fairly rapidly over the last few quarters. in terms of how broad this is going to be, if i am an m&a lawyer right now, what am i thinking about? how broad do you think the effect is going to be? isaac: i think it is going to touch nearly every corner of our economy.
